Article 1

Purpose

These General Terms of Use (“Terms”) set out how the Alinero platform (the alinero.com website and the Alinero Live mobile app), published by ALINERO DIGITAL, is made available and used. Any registration and any use of the service constitute full and complete acceptance of these Terms.

Article 2

Users

  • the Merchant (or seller): a trader who creates a shop on Alinero, sells their products there and can host live sales (“lives”);
  • the Buyer: a person who orders from a shop, with or without a buyer account;
  • the Viewer: a person who watches a live, with or without an account. Taking part in the chat, bidding, entering a giveaway or leaving a review requires a buyer account.

In these Terms, “User” means a Merchant, a Buyer or a Viewer alike.

Article 3

Description of the service

Alinero is online software (SaaS) that allows a Merchant to:

  • create and customise an online shop;
  • manage a product catalogue, stock and variants;
  • receive and process cash-on-delivery (COD) orders;
  • manage their customers, confirmation calls and team of agents;
  • host lives with chat, auctions and giveaways;
  • monitor their business (dashboard, statistics, invoicing).

The Alinero Live app also allows Buyers and Viewers to watch lives, follow shops and order with cash on delivery.

Alinero provides the technical tool. The Merchant remains solely responsible for their offer, prices, delivery, the compliance of their products and their relationship with their customers.

Article 4

Registration and account

You must be at least 18 to create an account, order, bid or enter a giveaway. The information provided must be accurate and up to date; the name chosen for a buyer account is visible to other users and must comply with the community rules (article 8).

Each User is responsible for the confidentiality of their login details (password for Merchants, PIN code for Buyers) and for any activity carried out from their account. A phone number can only be linked to one buyer account. Any fraudulent use must be reported without delay to support@alinero.com.

Article 5

The Merchant’s paid services

The Merchant’s use of Alinero may be free or involve paying for services. These payments are made on the website, in Tunisian dinars (TND), and only concern Merchants.

The financial terms applicable to Merchants are described in the Merchant terms and conditions and the price list published on alinero.com.

Alinero is not involved in collecting payment for Buyers’ orders: cash on delivery is settled directly between the Buyer and the Merchant (or their courier). The app offers no payment.

Article 6

Buyers’ orders

An order placed in a shop, including during a live or at the end of an auction, is a contract between the Buyer and the Merchant. ALINERO DIGITAL is not the seller and is not a party to this contract.

  • the Merchant or their team may call the Buyer to confirm the order and the delivery address;
  • payment is made on receipt, to the courier; the amount due is the one shown at the time of the order, delivery fees included, unless the Buyer accepts a change during confirmation;
  • questions of availability, delivery, exchange and return are settled with the Merchant, according to their terms and Tunisian law.

Placing an order with no intention of receiving it, or repeatedly in order to harm a Merchant, is forbidden and may lead to the blocking of the account or number concerned.

Article 7

The Merchant’s obligations

The Merchant undertakes to:

  • use the Platform in accordance with the Tunisian laws in force;
  • not offer unlawful, counterfeit or prohibited products;
  • respect their customers’ rights and the protection of their data;
  • moderate the chat of their lives (hide messages and block authors who do not comply with the community rules);
  • honour the auctions they launch and hand over giveaway prizes free of charge, in accordance with the giveaway rules;
  • not undermine the operation or security of the Platform.

The expected behaviour is detailed in our code of conduct.

Article 8

Community rules

These rules apply to all Users, Merchants and Viewers alike, and to everything they publish: chat messages, names and nicknames, reviews, live titles and content, product pages. It is forbidden to publish or broadcast:

  • hateful, racist or discriminatory remarks, insults, harassment, threats or intimidation;
  • sexual or pornographic content, nudity, or any content involving minors inappropriately;
  • violent or shocking content, or content glorifying terrorism, violence or self-harm;
  • scams, fake offers, fake reviews, spam, unsolicited advertising or misleading links;
  • other people’s personal data (phone number, address, photos) without their consent;
  • identity theft (pretending to be another person, a brand or Alinero);
  • unlawful, counterfeit, dangerous or prohibited products or services, and any content contrary to Tunisian law or public decency.
Zero tolerance: abusive content is removed and its author may be permanently excluded, without prior warning.

Article 9

Reporting, blocking and sanctions

  • Report: from the app, each chat message (the message’s “⋯” icon), each live (the live’s “⋯” menu) and each shop can be reported, with a reason (scam, shocking content, harassment, counterfeit, other). Any other content (review, username) can be reported to support@alinero.com, stating the shop, the date and the content concerned. A message reported by several people is automatically hidden pending review.
  • Block: a Viewer can block another user so as to no longer see their messages. The Merchant can hide a message and block its author in their lives.
  • Filtering: an automatic filter rejects messages containing known insults, in French and in Tunisian Arabic.

ALINERO DIGITAL reviews reports within 24 hours. When content breaches these rules, it is removed and its author is sanctioned according to the seriousness: warning, suspension, account blocking or permanent exclusion, and, for a Merchant, suspension of their shop. The most serious acts may be reported to the authorities.

Article 10

Auctions and giveaways

Auctions: during a live, a Merchant can put a product up for auction. The first bid is made at the starting price, then each bid raises the price by the increment set by the Merchant. A bid is a commitment to buy: at closing, the highest bidder obtains a cash-on-delivery order at the final price, which the Merchant then confirms by phone. If a bid arrives in the last seconds, the end of the auction may be pushed back to give others time to respond. Bidding with no intention of buying is forbidden.

Giveaways: the prize draws organised during lives are free, with no purchase necessary. They are governed by the giveaway rules, which set out the conditions of participation, the draw and the handing over of prizes.

Auctions and giveaways are not gambling: taking part or bidding costs nothing and no payment is made in the app. Only the product won at auction is paid for, on delivery.

Article 11

Availability and maintenance

ALINERO DIGITAL strives to ensure continuous availability of the service, subject to maintenance operations and cases of force majeure. The company may develop the Platform’s features to improve its quality.

Article 12

Personal data

The processing of personal data is described in our privacy policy and, for the mobile app, in the app privacy policy, both compliant with Tunisian Law No. 2004-63 on the protection of personal data.

Article 13

Suspension, termination and account deletion

In the event of a serious breach of these Terms (unlawful activity, negative balance left unpaid by a Merchant, security breach, violation of the community rules), ALINERO DIGITAL may suspend or terminate the account, after informing the User where possible.

Each User can stop using the service at any time and delete their account themselves, in the app or on the web, as explained on the account deletion page.

Article 14

Limitation of liability

ALINERO DIGITAL cannot be held liable for indirect damage, for disputes between a Merchant and their customers, or for content published by Users, subject to its obligation to promptly remove unlawful content reported to it. The service is provided “as is”, with no guarantee of commercial results.

Article 15

Automated extraction prohibited

It is forbidden to extract, copy or reuse in an automated way all or part of the shops hosted on Alinero and their content (products, photos, descriptions, prices, reviews), in particular by means of bots, scripts, scraping tools or direct calls to the platform’s API, without the prior written consent of ALINERO DIGITAL. Indexing by search engines and previews of links shared on social networks are not concerned.

Alinero may block without notice the access of any address or program engaging in such extraction, and reserves the right to take any appropriate action to stop the infringement of its Merchants’ rights and its own.

Article 16

Governing law

These Terms are governed by Tunisian law. Any dispute falls, failing an amicable agreement, under the jurisdiction of the courts of Tunis. Contact: support@alinero.com.
