Article 1

Purpose and applicable documents

These Merchant Terms and Conditions (the “Terms”) govern the commercial relationship between ALINERO DIGITAL SARL (“Alinero”) and each professional who uses the Alinero platform to sell (the “Merchant”). They describe the paid services, their prices and how they are paid.

Publisher: ALINERO DIGITAL, a limited liability company (SARL) with a share capital of 3 300 DT, whose registered office is located at 10 Rue de l'Île de Rhodes, 3ème étage Bureau A1, Immeuble Henda, 1053 Les Berges du Lac 2, Tunis, Tunisie. Tax identification number: 2002705C/A/M/000.

They form a whole with the following documents:

  • the Terms of use, which set the rules common to all users (community rules, moderation, sanctions);
  • the privacy policy;
  • the price list, which forms part of these Terms and gives the current prices;
  • where applicable, the accepted quote for a service on quotation (article 17).

In the event of a contradiction, these Terms prevail over the Terms of use for paid services and the commercial relationship. The price list prevails for amounts.

The Merchant accepts these Terms by creating their account. Every top-up, every pack purchase and every use of a paid service is made under the Terms in force on that date.

Article 2

Definitions

  • Merchant: the professional who holds the account, owner of their shops and their wallet.
  • Merchant space: the Merchant's administration interface on alinero.com.
  • Team member: the person the Merchant invites to work on their shops, with the permissions the Merchant gives them.
  • Customer: the person who orders in one of the Merchant's shops.
  • Order received: any order recorded in one of the Merchant's shops, whatever happens to it afterwards (confirmed, delivered, cancelled, refused or returned).
  • Abandoned cart draft: the provisional order created when a customer has entered their phone number without submitting their order. It is not an order received.
  • Live order to be completed: the order created from a comment on a Facebook live (spotted by Alinero or created by the Merchant), as long as the customer has not filled in the order form and the Merchant has not confirmed it. It is not yet an order received.
  • Live: a live sale hosted by the Merchant with Alinero's tools.
  • Wallet: the account of prepaid credits in Tunisian dinars (TND) attached to the Merchant's account. Its balance is the amount available; it can only become negative in the case of article 7.
  • Pack: a bundle of SMS or WhatsApp credits bought separately, outside the wallet.
  • Excl. VAT: excluding tax. VAT: value added tax. Incl. VAT: all taxes included.

Article 3

Merchant's professional status, account and team

The Merchant acts in a professional capacity, for the needs of their commercial activity. They declare that they carry out this activity in compliance with Tunisian regulations (registration, tax regime, any authorisations). These Terms are concluded between professionals.

They provide accurate information and keep it up to date. They keep their login details confidential and are answerable for any activity carried out from their account.

The Merchant may invite members of their team and choose their permissions. They are answerable for their acts as for their own. The paid services team members use are charged to the Merchant's wallet: it is always the account holder who pays. The Merchant removes a member's access as soon as that member no longer needs to work on the shops.

The Merchant has a single wallet, shared between all their shops.

Article 4

Free access and pay-per-use paid services

Access to Alinero is free, with no time limit. It includes sign-up, creating and managing shops, products and orders, the Merchant's team and connecting a custom domain name, with no fees charged by Alinero (buying the domain name from a registrar remains at the Merchant's expense).

There is no subscription, no plan, no quota and no trial period.

The following are also free, with usage limits intended to prevent abuse: the sales page generated by AI, the AI assistants for orders and the catalogue, dashboard advice, Studio ideas, as well as starting lives, giveaways, scheduling and moderating lives.

Only the following are paid, per use:

  • charged to the wallet: the commission, including on orders placed during a live (articles 7 and 8), AI and the Image Studio (article 9);
  • bought separately: SMS and WhatsApp packs (article 10) and services on quotation (article 17).

Making a previously free service paid follows the same rules as a price increase (article 6).

Article 5

Prepaid wallet, service delivery and cancellation

Nature. The wallet contains prepaid usage credits in Tunisian dinars, usable only to pay for Alinero's services (closed loop). It is neither a bank account, nor a payment account, nor electronic money. The balance bears no interest. It cannot be converted into cash and can neither be assigned nor transferred to another account.

Top-up. The Merchant tops up their wallet by bank card, via the payment provider Flouci, whose terms apply to the payment. Each top-up is at least 30 TND, with no ceiling. The top-up is a prepayment: VAT applies to consumption, not to the top-up (article 6).

Card data. Card data is entered with Flouci. Alinero does not receive or store it.

Crediting the wallet. The wallet is credited as soon as Flouci confirms the payment, once per payment. If your card was charged without your wallet being credited, write to support@alinero.com stating the payment reference, its date and its amount. Alinero checks with Flouci and credits the wallet if the payment is confirmed.

Service delivery. Alinero is an online service: no physical goods are delivered. The service is provided immediately, in the merchant space: the credits of a top-up as soon as Flouci confirms the payment, those of an SMS or WhatsApp pack as soon as its payment is confirmed (article 10), pay-per-use services when the Merchant uses them.

Cancellation. As long as the payment is not confirmed, the Merchant can cancel it by leaving the Flouci payment page: nothing is charged. Once the payment is confirmed, a top-up or a pack purchase can no longer be cancelled, since the service is provided immediately; the refund rules below apply. The Merchant can stop using the service and close their account at any time, at no cost (article 19).

Duration. Topped-up credits do not expire. Only the credits given by the welcome offer have a limited duration (article 11); they are used first.

Refund. Topped-up credits are neither refunded nor withdrawable, including when the account is closed. One exception only: if Alinero ends the service, the remaining topped-up balance (excluding credits given) is refunded to the Merchant, according to the terms communicated to them by email (article 19).

Alerts. Alinero warns the Merchant when their balance falls to 20, 10 and 2 TND, by a notification in the merchant space and by email. These alerts are an aid: the Merchant remains responsible for monitoring their balance, which can be viewed at any time with the history of operations in their space.

Article 6

Prices, VAT and price changes

The current prices are published on the price list and in the merchant space. They are expressed excluding tax. 19% VAT is added: the amount charged equals the price excluding tax plus VAT rounded to the millime.

ServicePrice excl. VATAmount charged, VAT included
Commission (article 7)0.3% of the part beyond 20,000 TND0.3% + VAT
AI: writing the product page0.200 TND0.238 TND
Product created from photos (up to 10 photos)0.200 TND0.238 TND
Image Studio: one image, depending on the tool0.184 to 0.266 TND0.219 to 0.317 TND

Image Studio prices are set tool by tool, as close as possible to their cost: the price of each tool appears on the price list and is shown before each generation. SMS and WhatsApp pack prices appear on the price list (article 10).

Increase. Any price increase, any new paid service and any change to the commission are announced to the Merchant by email and in the merchant space, at the latest on the day they come into force. They apply as soon as they are published.

Decrease. A price decrease may apply immediately.

No retroactive effect. The price applied is the one in force at the time of the operation. Credits already topped up keep their value in dinars and pack credits already bought remain acquired.

Right to leave. A Merchant who does not accept an increase can stop using the service concerned or close their account, at no cost. The rules of article 5 on the balance remain applicable.

A change in the legal VAT rate applies from its effective date, without notice.

Article 7

Commission on orders received

Free threshold. No commission is due as long as the total of orders received by the Merchant, across all shops and since their account was opened, does not exceed 20,000 TND.

Rate. Beyond that, the commission is 0.3% excl. VAT, plus VAT, calculated only on the part that exceeds 20,000 TND.

Basis. The amount taken into account is the total amount of the order: products, plus delivery fees, minus discount.

Example. The total reaches 19,900 TND and an order of 300 TND comes in: only 200 TND exceed the threshold. The commission is 0.600 TND excl. VAT, i.e. 0.714 TND charged VAT included. The following orders are subject to the commission on their total amount.

Charge. The commission is charged to the wallet as soon as the order is received. It pays for the matchmaking and the use of the platform; it is never taken from the money collected from customers.

Cancelled or refused orders. Every order received counts towards the total, even if it is later cancelled, refused or returned. The commission charged is not refunded.

Abandoned cart drafts. They are neither counted nor charged. If a draft becomes a real order (the customer submits it or the Merchant turns it into an order), it is that order which is counted, once.

Orders placed during a live. These are orders received like any other: they count towards the total and bear the commission under the same conditions (article 8). An order born from a Facebook comment is only counted from the moment the customer fills in the order form or the Merchant confirms it.

Insufficient balance. The commission is due even if the balance is not enough: it is charged and may make the balance negative. The sum due is covered by the next top-up (article 12).

Article 8

Orders placed during a live

An order placed during a live (direct purchase during the live, won auction or Facebook comment turned into an order) is an order received like any other. It has no price of its own: it counts towards the total and bears the commission of article 7, under the same conditions (free threshold, rate, basis, charge on receipt, no refund if the order is later cancelled or refused).

Facebook comment turned into an order. The order is first a live order to be completed: it appears in the merchant space, but it is neither counted towards the total nor charged. It becomes an order received, counted and subject to the commission once only, when the customer fills in the order form, or when the Merchant confirms it or moves it forward (packed, shipped…). If dismissed by the Merchant or refused before that, it is never counted.

Starting or launching a live requires no minimum balance: a live is available even when the wallet balance is zero or negative.

Starting lives, giveaways, scheduling lives and moderation are free.

Article 9

Artificial intelligence and Image Studio

Paid AI services (writing the product page, creating a product from its photos, up to 10 photos) and the Image Studio tools are billed per operation, at the price in article 6.

The price is charged when the result is delivered. If the operation fails or delivers no result, nothing is charged.

These services are refused when the balance is zero, negative or lower than the price of the operation.

Results are produced automatically by AI models, some of them supplied by third-party providers. They may be inaccurate, incomplete or not match the real product, and similar results may be produced for other users. They are provided without warranty.

The Merchant checks each result before publishing it and remains solely responsible for its use: accuracy of descriptions and prices, claims about the product, respect for third-party rights. They only send photos to which they hold the rights and, if a person appears in them, with that person's consent.

Alinero claims no rights over the results delivered to the Merchant.

Article 10

SMS and WhatsApp packs

Packs are outside the wallet: they are bought separately, by bank card via Flouci, on the alinero.com website. Their prices are expressed excluding tax, plus 19% VAT, and appear on the price list. Alinero may change them under the conditions of article 6.

Credits are attached to the Merchant's account and do not expire. One credit corresponds to one WhatsApp message, or to one SMS of at most 160 Latin characters (70 in Arabic); a longer SMS uses one credit per segment of 153 Latin characters (67 in Arabic).

When sending a message fails, its credit is returned. Alinero does not, however, guarantee that a message sent is received: this depends on the operators, on Meta and on the recipient's phone.

Pack credits cannot be converted into cash and cannot be transferred to another account.

The Merchant is the author of the messages sent to their customers. They choose the content and the recipients, and respect their consent: no promotional message to a person who has not accepted it or who has asked to stop receiving them, no misleading or unlawful content.

WhatsApp messages are sent from Alinero's WhatsApp Business number, via Meta's platform, whose rules apply. Alinero may refuse a message or suspend sending in case of abuse or at Meta's request. SMS go through a telecommunications operator.

Article 11

Welcome offer

When active, the welcome offer is a free commercial gesture by Alinero: 50 SMS credits, 50 WhatsApp credits and 20 TND of credits in the wallet.

It is granted once per person, whatever the number of accounts, after the phone number is verified by SMS and a shop with at least one active product is published.

It is valid for 90 days from when it is granted. Credits given are used first. At expiry, the unused part is removed.

Credits given are neither refundable nor convertible into cash, even if the service ends.

Granting it is subject to anti-abuse checks (phone number or email address already used, disposable email addresses, multiple accounts). Alinero's team may refuse the offer, or withdraw unused credits given, in case of abuse or inaccurate information.

Alinero may change or stop the offer for new sign-ups at any time. An offer already granted remains valid until it expires, except in case of abuse.

Article 12

Zero or negative balance

When the balance is zero or negative:

  • paid AI and the Image Studio are refused; starting a live remains possible;
  • the shop stays online and orders keep coming in;
  • free services remain available, and SMS and WhatsApp messages are sent as long as pack credits remain;
  • the commission, including on orders placed during a live, remains due and continues to be charged.

A negative balance is a sum owed by the Merchant to Alinero. The next top-up covers it first; only the surplus is available.

If a sum due remains unpaid, Alinero may, after informing the Merchant by email, suspend their paid services until settlement and claim payment by any legal means.

Article 13

Invoices

Invoices for top-ups, packs and wallet charges will be made available in the merchant space. In the meantime, each operation (date, amount, reason) can be viewed in the wallet history.

The Merchant provides accurate billing information (name or company name, address, tax identification number where applicable) and keeps it up to date.

These invoices are separate from those the Merchant issues to their own customers with Alinero's invoicing tool, for which the Merchant remains solely responsible.

Article 14

Orders, cash on delivery and carriers

The sale is concluded between the Merchant and their customer. Alinero is neither a seller, nor a carrier, nor a collection agent: it never collects the price of orders. Cash on delivery is paid to the courier and paid over to the Merchant according to their carrier's terms.

Each carrier connected to Alinero is connected on the basis of a contract the Merchant enters into directly with that carrier. This contract (rates, lead times, returns, payment of funds) binds only the Merchant and the carrier. Alinero is not liable for loss, delay, damage or refusal of parcels, nor for the sums collected or paid over by the carrier.

The risk score by governorate and the other indicators provided on an order are decision aids, calculated automatically, without warranty. The Merchant alone decides to confirm, ship or refuse an order.

To reduce refused parcels, this score takes into account in particular the delivery history of the customer's phone number across all Alinero shops (parcels delivered, returned, orders refused). The Merchant only sees an anonymous summary, for example “2 parcels returned on Alinero in the last 6 months”: never the name of the other shops nor the details of their orders. This return-prevention processing is carried out by Alinero on its own behalf. The Merchant informs their customers that their orders may be subject to this check.

The Merchant meets their obligations towards their customers: information on products and prices, delivery, exchanges, returns and legal warranties.

Article 15

Merchant's content and display licence

The Merchant remains the owner of their content: texts, photos, videos, logos and trademarks. They guarantee that they hold the necessary rights, and that their content and products are lawful, accurate and compliant with regulations, including the authorisations required for regulated products.

They grant Alinero, free of charge and for as long as the content is online, the non-exclusive right to host, reproduce, technically adapt (format, size, compression) and display this content, to the extent necessary for the service: shop, website, Alinero Live app, search engines and previews on social networks.

Alinero may cite the shop (name, logo, preview) as a reference in its communication, unless the Merchant objects by writing to contact@alinero.com.

This right ends when the content is deleted or the account closed, subject to technical delays (caches, backups).

Alinero may hide or remove content that is manifestly unlawful or reported, under the conditions set out in the Terms of use.

The platform, its software, its shop templates and the Alinero brand remain Alinero's property. The Merchant has a personal, non-transferable right of use for the life of their account. They remain the holder of, and responsible for, their custom domain name.

Article 16

Customers' personal data

For their customers' data (orders, contact details, exchanges), the Merchant is the data controller. Alinero acts as a processor: it processes this data on the Merchant's behalf, according to the instructions the Merchant gives through the platform settings, and only to provide the service.

Alinero undertakes to:

  • keep this data confidential and give access to it only to the people who need it;
  • protect it with appropriate security measures;
  • use only the technical providers that are necessary (hosting, message sending, payment, AI), bound by confidentiality;
  • help the Merchant, to a reasonable extent, to respond to their customers' requests;
  • inform them without undue delay of a data breach affecting their customers;
  • delete this data when the account is closed, in accordance with the privacy policy and subject to legal retention obligations.

The Merchant complies with Organic Law No. 2004-63 of 27 July 2004 on the protection of personal data. They complete with the National Authority for the Protection of Personal Data (INPDP) the formalities incumbent on them, inform their customers, collect only useful data and obtain their consent where the law requires it, in particular for marketing.

Alinero remains the controller of the processing it carries out on its own behalf (management of the Merchant's account, security, fight against fraud and abuse, return risk score, audience measurement). Details are given in the privacy policy.

Article 17

Services on quotation

Alinero offers, on quotation:

  • advertising sponsorship: advertising campaigns managed by Alinero's team, from 300 TND, advertising budget included;
  • the Alinero Team: a service carried out for the Merchant by Alinero's team, one-off or monthly.

The content, duration, price and payment terms of each service are set in the quote accepted by the Merchant. This quote prevails over these Terms as far as it is concerned.

These services are an obligation of means: Alinero does not guarantee a volume of sales, visits or results.

Article 18

Availability, liability and force majeure

Alinero uses reasonable means to keep the service available and working properly. Interruptions may occur, in particular for maintenance, in the event of an incident or because of third-party services (Meta, operators, Flouci, carriers, AI providers). Alinero endeavours to announce scheduled maintenance in advance.

Alinero is not liable for:

  • indirect damage, such as loss of turnover, customers or opportunity;
  • disputes between the Merchant and their customers;
  • the acts of carriers and third-party providers;
  • the use the Merchant makes of the results of AI and the Image Studio;
  • the non-receipt of a message sent.

For any damage, Alinero's liability is limited to the total sums actually paid by the Merchant to Alinero during the 12 months preceding the event that caused it. This limit does not apply in the event of fraud or gross negligence.

The Merchant indemnifies Alinero against any third-party claim related to their products, their content, their messages or their relationship with their customers.

Neither party is liable for a failure caused by force majeure, that is, an external, unforeseeable and irresistible event, such as a general network or power outage, a natural disaster or a decision by the authorities. Performance resumes as soon as the event ends.

Article 19

Term, suspension, termination and account closure

The contract is concluded for an indefinite period, from the creation of the account.

Closure by the Merchant. The Merchant may close their account at any time, at no cost and without notice, as explained on the account deletion page. Before doing so, they are invited to export their data and use their balance.

What happens to the balance. When the account is closed, the positive wallet balance and the remaining pack credits are lost and are not refunded; credits given are removed. The wallet and its history are deleted with the account. A sum due (negative balance) must be settled by a top-up before the account is closed.

Suspension and termination by Alinero. In the event of a serious breach by the Merchant (unlawful activity, fraud, abuse of the welcome offer, security breach, violation of the Terms of use, sum due left unpaid), Alinero may suspend the paid services or the account, or terminate the contract. It informs the Merchant beforehand where possible, and without delay in an emergency. The balance is then not refunded.

End of the service. If Alinero permanently ends the service, it warns Merchants by email and in the merchant space, as far as possible at least 30 days in advance. The remaining topped-up balance (excluding credits given) is then refunded to the Merchant.

What happens to data after the account is closed is described in the privacy policy.

Article 20

Evidence

In accordance with Law No. 2000-83 of 9 August 2000 on electronic exchanges and commerce, Alinero's electronic records (timestamps of orders, top-ups, charges, message sending and acceptance of the Terms) constitute evidence between the parties, unless proven otherwise.

The wallet history available in the merchant space reflects these records, for as long as the account exists.

Article 21

Changes to the Terms

Alinero may change these Terms. It informs the Merchant by email and in the merchant space, at the latest on the day the new version comes into force, which applies as soon as it is published on this page. The date of the version in force appears at the top of this page.

A change imposed by law or by an authority may apply within the time limit it sets.

If the Merchant continues to use the service after the effective date, they accept the new version. If they refuse it, they can stop using the service and close their account, at no cost.

Article 22

Governing law, disputes and language

These Terms are governed by Tunisian law.

In the event of a dispute, the Merchant first sends a written complaint to support@alinero.com. The parties seek an amicable solution for 30 days from its receipt. Failing agreement within this period, the dispute falls under the exclusive jurisdiction of the courts of Tunis.

These Terms are written in French; this English version is a translation. In the event of any difference between the versions, the French version prevails.

If a clause is declared void, the others remain applicable. Alinero's failure to rely on a clause does not constitute a waiver. The Merchant may not assign their contract or their account without Alinero's written consent.

Contact: support@alinero.com (support) or contact@alinero.com (commercial questions).

Article 23

Delivery, return, exchange and refund

This article brings together, for Alinero's paid services, the terms of delivery, return, exchange and refund. The Merchant's sales to their own customers follow the Merchant's own terms (article 14).

Delivery terms and conditions. Alinero's services are digital: nothing is shipped and no delivery fees are charged. Delivery is immediate and takes place in the merchant space, as soon as Flouci confirms the payment: the amount of a top-up is added to the wallet balance, the credits of an SMS or WhatsApp pack are added to the credit counter. Each top-up appears in the wallet history. If a confirmed payment does not appear, the Merchant writes to support@alinero.com (article 5).

Return and exchange. A digital service provided immediately can be neither returned nor exchanged: a top-up cannot be exchanged for a pack, nor one pack for another, and credits cannot be transferred to another account (articles 5 and 10).

Refund. Topped-up credits and pack credits are not refunded, including when the account is closed (articles 5 and 19). Exceptions: a payment charged but not credited is credited after checking with Flouci (article 5); the credit of a message whose sending fails is returned (article 10); if Alinero ends the service, the remaining topped-up balance (excluding credits given) is refunded (article 19).

Complaint. Any complaint about a delivery or a payment is addressed to support@alinero.com, in accordance with article 22.
